All members are subjected to these terms of service and use. These terms may change and be updated at any time, and supercede any other terms of service, whether expressed or implied, written or oral.


By Using This Site, You Agree To The Following: BIRD LADY SECRETS USER AGREEMENT

BIRDLADYSECRETS.com is a sole-proprietorship (herein referred to simply as "Bird Lady Secrets") operated by Frederico Loureiro Vila Verde. The commercial and communication services on the Bird Lady Secrets Club website, located on the Internet at www.birdladysecrets.com ("the Site"), are provided solely at our discretion.

By using and/or registering to become a member of the site, you are stating that you understand and agree to be bound by the terms and conditions of this Bird LadyBird Lady Secrets user agreement (the "agreement"). Please read the agreement. If you disagree with anything in this agreement, please do not use the site or any services provided in connection with the site.

SERVICES

To use the Site, you do have to register to become an Bird Lady Secrets free member ("Member"). As an Elite Member ("Paid Member"), however, you will have access to various services to which free members do not have access, some of which will enable you and other Bird Lady Secrets Elite Members to interact with each other ("Paid Member Areas"). These Member Areas and services can include and at our discretion, without limitation, the following:

Bird Lady Secrets Forums, Bird Lady Secrets Member-to-Member Messages, Bird Lady Secrets Member Profiles, Bird Lady Secrets Articles, Bird Lady Secrets Audios, Bird Lady Secrets Videos, Bird Lady Secrets Downloads, Bird Lady Secrets Image Gallery, Bird Lady Secrets Surveys, Bird Lady Secrets Banner Ads.

If you would like to register to become a free member, please complete our membership registration form. When you do, you agree to: provide true, accurate, current and complete information as prompted by the registration form, maintain and update such information to keep it true, accurate, current, and complete at all times, and that you are the age that you state.

If any information provided by you on the registration form is untrue, inaccurate, not current or incomplete, or if we have reasonable grounds to so believe, we have the right to suspend or terminate your membership and to refuse to provide you with any future membership.

If we have reason to believe that you have registered someone other than yourself, we will cooperate with any law enforcement investigation that may result from such misrepresentations and shall have the right, in our sole discretion, to disclose any information you provided to us in connection with such registration.

The Bird Lady Secrets web site makes a good faith effort to prohibit registration as a member by, and will not knowingly connect or store personal information from, children as governed by law. We reserve the right to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that the Bird Lady Secrets web site shall not be liable to you or to any third party for any such action.

FEES

We reserve the right at any time to charge fees for access to new Site content or services or to portions of the existing Site content or services or the Site as a whole.

In no event will you be charged for access to any Site content or service, or to the Site as a whole, unless we obtain your prior agreement to pay such charges. If you do not consent to such charges, however, you may not have access to paid content or service.

SITE RULES

Following are some basic rules that apply to the Site and that you agree to follow. If you violate any of the Site rules, or if we have reasonable grounds to so believe, we have the right to deny you access to the Site, to suspend or terminate your membership and to refuse to provide you with any future membership.

You agree not to use the site to upload, store, post, email or otherwise transmit any: material that is inaccurate, unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, sexually explicit, libelous, invasive of another's privacy, hateful, racist, bigoted or otherwise objectionable, material that you do not have a right to transmit under any law or under contractual or fiduciary relationships, material that infringes any patent, trademark, trade secret, copyright or other proprietary right of any party, advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation, except where specifically permitted, or material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

Additionally, you agree NOT to:

- impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
- forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted through the Site;
- disrupt the normal flow of dialogue, cause a screen to scroll faster than other users of the Site are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real-time exchanges;
- interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site;
- try to gain access to areas that are private to Bird Lady Secrets administrators or to other Bird Lady Secrets members;
- violate any applicable local, state, national, or international law or any regulation having the force of law;
- stalk or otherwise harass another;
- harm minors in any way, including, without limitation, to establish unlawful contact with minors (whether on or off the Site);
- collect or harvest screen names; collect or store personal data about other users of the Site; or solicit or attempt to discover a user's password, screen name, or other registration information without the user's express knowledge and consent;
- engage in or run raffles, lotteries, contests or sweepstakes;
- promote or provide instructions of information about how to engage in illegal conduct or commit illegal activities, promote physical harm or injury, or promote any illegal act; or
- store any information or use any Web page or directory you create for remote loading or as a door or signpost to another Web page, whether inside or outside the Site.

You acknowledge that we do not prescreen material posted or transmitted on the Site, but that we and our designees shall have the right (but not the obligation) in our sole discretion to review and edit, delete or refuse to post any material submitted for display or placed on the Site, including but not limited to message board posts, profiles, and member-to-member messages. Without limiting the foregoing, we and our designees shall have the right to remove any material that violates this Agreement, that we believe in good faith may create liability for us, or that we deem is otherwise objectionable.

You acknowledge and agree that we may preserve material and may disclose material if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:

- comply with legal process; - enforce this Agreement; - respond to claims that any material violates the right of third parties; or - in our sole judgment, protect the rights, property, or personal safety of the Bird Lady Secrets, its users and the public.

PUBLIC AREAS

A Public Area ("Public Area") of the Site is any area where you may submit material ("Submissions") for viewing by others or view Submissions of other Bird Lady Secrets users, such as profiles, forums, or award programs. In some of these areas, a Submission includes the name, ID, nickname, and/or other information that would be displayed with the submitted material, as applicable. You agree to use Public Areas in accordance with the Agreement and any policies for the Public Areas that are displayed on the Site.

BY SUBMITTING MATERIAL TO A PUBLIC AREA, YOU AGREE TO INDEMNIFY Bird Lady Secrets AND HOLD IT HARMLESS FROM ALL CLAIMS, INCLUDING, WITHOUT LIMITATION, CLAIMS FOR LIBEL, SLANDER, INVASION OF PRIVACY, COPYRIGHT INFRINGEMENT OR OTHERWISE, ARISING FROM SUCH SUBMISSION.

By making a Submission to any Public Area, you automatically grant Bird Lady Secrets the royalty-free, perpetual, irrevocable, nonexclusive right and license to use, reproduce, modify, adapt, publish, translate, publicly perform and display and distribute the content of the Submission (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or hereafter developed. You also permit any other user of the Bird Lady Secrets Site to access, view, store, or reproduce the Submission for that user's personal use.

LINKS

Our provision of a link to any other site or location is for your convenience and does not signify our endorsement of such site or location of its contents. The Bird Lady Secrets shall not be responsible for any information, software, or links found at any other World Wide Web site, Internet location, or source of information, for your use of such information, or for e-commerce transactions conducted at or through any linked site or location.

DISCLAIMER OF WARRANTIES

You expressly agree that your use of the site, including, without limitation, any material and/or data developed by the Bird Lady Secrets or by third parties ("information providers"), is at your sole risk. The site, and any content or materials available through the site, are provided on an "as is" and "as available" basis and without warranty of any kind, express, implied or statutory. The Bird Lady Secrets and the information providers hereby expressly disclaim all such warranties including, without limitation, any implied warranties or merchantability, fitness for a particular use or purpose, title, or noninfringement, or any warranty as to results that may be obtained through the use of the site. If you are dissatisfied with the site or the services, content or materials available on or through the site, your sole and exclusive remedy is to discontinue using the site. The foregoing limitations on liability shall be applicable even if the Bird Lady Secrets or the applicable third party knew or should have known of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

ALLOCATION OF RISK

You agree that the disclaimer of warranties, limitations on liability, and indemnification provisions set forth in this agreement represent and agreed upon allocation of risk between you and the Bird Lady Secrets and form an essential part of the basis of their bargain, without which the Bird Lady Secrets would not enter into this agreement or provide the site.

OWNERSHIP OF MATERIALS

The contents of the Site, including without limitation text, audios, videos, photos, graphics, and all other audiovisual elements are copyrighted by Bird Lady Secrets as a collective work under the International copyright laws. Except for material in the public domain, Bird Lady Secrets and its licensors hold copyrights to all content appearing on the Site. The Bird Lady Secrets, without charge, the reproduction and distribution of Bird Lady Secrets material contained on the Site for non-commercial educational and personal uses; provided that such materials remain unaltered and are accompanied by a clearly visible copy of any copyright notice appearing on such materials and by the Site's URL ("BirdLadySecrets.com"). The only exception to this is any Bird Lady Secrets Award graphic, link, text, criteria, rules, etc.. We retrain and reserve all rights to this information. Other reproduction, distribution, retransmission, modification, public display, and public performance of such materials is prohibited without the prior written consent of Bird Lady Secrets. AFFILIATE PROGRAM AND AFFILIATE AGREEMENT

By using and/or registering to become a free member, where you become an instant affiliate of the site, you are stating that you understand and agree to be bound by the terms and conditions of this Bird Lady Secrets Affilite Agreement. Please read the agreement. If you disagree with anything in this agreement, please do not use the site or any services provided in connection with the site affiliate program.

BirdLadySecrets may terminate this Agreement anytime if your site (or email content) is determined (at our sole discretion) to be unsuitable for the Affiliate Program. Only participants, sites or email content based in the United States, United Kingdom, Canada, or Australia are eligible to participate in the BirdLadySecrets.com Affiliate Program unless an exception is granted in writing from Bird Lady Secrets.

1. Enrollment in the Affiliate Program

You Agree To:

- Submit a complete and accurate free member account.
- Keep your information updated in our system, including but
not limited to your name, last name, email address, paypal
email address and/or clickbank affiliate nickname.
- You can update your account information when you are logged
into the members area inside.

You Agree Not To:

- Mislead others
- Operate, utilize, or publish a Web site or email content, or link to Web sites that contain or promote any of these types of content: libelous, defamatory, obscene, pornographic, abusive, violent, bigoted, hate-oriented, illegal, cracking, hacking or warez, discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, or that offer any illegal good or service violate intellectual property rights
- Engage in spamming, indiscriminate advertising or unsolicited commercial email;
- And/or Engage in cybersquatting or typosquatting

2. Promotion of Our Affiliate Program

Upon joining as an Affiliate Site, we will make available to you inside your members area a variety of emails, graphic and textual links (the "Links"), which, subject to the terms and conditions hereof, you may display as often and in as many areas of your site as you desire. The Links will serve to identify your site as a member of our Affiliate Network and will establish a link from your site to ours.

Bird Lady Secrets web site Agrees To:

Pay Affiliate based on the following commission structure:

- $23.88 commissions when someone you refer from your site creates a Bird Lady Secrets "ELITE" membership for a 12-month Elite Parrots Club membership access, using the PayPal.com payment system for all $47.77 memberships upgrades via the one time offer page.

- $23.88 commissions when someone you refer from your site creates a Bird Lady Secrets "ELITE" membership using the 15 days $1 trial payment option, for a 12-month Elite Parrots Club membership access using the PayPal.com payment system, and proven the member you refer does get billed in paypal after the 15 day $1trial period is over. No affiliate sales commissions will be paid if ELITE members suspend their paypal membership susbcriptions (either themselves in paypal or by writen request to the BirdLadySecrets.com administrators) before the end 15 days $1 trial period is over. BirdLadySecrets.com shall also not pay any commissions from the initial $1 sale created for each 15 days $1 trial subscriptions in paypal. We only pay affiliate commissions $23.88 for sales generated in this second option after a member is actually billed for the final price of $47.77, which happens 15 days after he pays $1.

All the members you refer can upgrade their membership to "ELITE" by:

1) Taking advantage of our special ONE TIME OFFER people see once they first join the web site as a free member.

2) Or by upgrading their free membership to an "ELITE" membership using the upgrade links located inside the members areas.

We will pay the affiliate via PayPal.com on a monthly basis on or before the 30th of each month for earnings made during the previous calendar month. There's no "2-Tier Reward" for the Bird Lady Secrets affiliate program - that's against PayPal.com web site terms of service!

Affiliate Agrees To:

- Place BirdLadySecrets.com Links on your site, and/or your email content via the promo tools we offer inside the free members area.
- Have sole responsibility for the development, operation, and maintenance of your site and for all the materials that appear on your site.
- Ensure that all materials posted on your site are not illegal and do not infringe on the rights of any person or entity of any kind. We disclaim all liability for all materials on your site.
- Indemnify, defend, and hold us harmless from all claims, damages, and expenses relating to the development, operation, and contents of your site.
- Make sure that your site does not copy or resemble the look and feel of BirdLadySecrets.com or create the impression that your site is our site or a part of our site.
- Remove any and all specific links, ads, and promotions upon being notified that they are to no longer be used for promoting the BirdLadySecrets.com Affiliate Program and agree to forfeit any commissions earned after the end date of the promotions if you continue to post such links.
- We offer you no guarantees of income or income results, in case use the special and custom affiliates links our system allows you to create, so you can earn money from affiliate commissions of OTHER products and services we promote via our autoresponder email follow-ups sequence.
- If you use the custom affiliate links we allow you to use, then the Bird Lady Secrets web site shall not be liable to you or to any third party for the income or affiliate commissions resulting from the use of these custom affiliate links. We at BirdLadySecrets.com are only responsible for affiliate commissions payments generated when the members you refer upgrade their free memberships to an "ELITE" membership in our site.

PUBLICITY

You shall not create, publish, distribute, or permit any written material that makes reference to us without first submitting such material to us using the contact form here.and receiving our consent.

CONFIDENTIALITY

Except as otherwise provided in this Agreement or with the consent of the other party hereto, each of the parties hereto agrees that all information, including, without limitation, the terms of this Agreement, business and financial information, customer and vendor lists, and pricing and sales information, concerning us or you, respectively, or any of our Affiliates provided by or on behalf of any of them shall remain strictly confidential and secret and shall not be utilized, directly or indirectly, by such party for its own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public through a source or sources other than such party hereto or its affiliates.

LIMITATION OF LIABILITY

We will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions paid or payable to you under this Agreement.

LIMITED LICENSE

We grant you a nonexclusive, nontransferable, revocable right to access our site through the Links solely in accordance with the terms of this Agreement, for the sole purpose of linking your site to our site, solely for the purpose of identifying your site as a participant in the Affiliate Program and assisting in producing sales of the Bird Lady Secrets membership site. You may not alter, modify, or change the Links in any way. You are only entitled to use the Links to the extent that you are a member in good standing of the BirdLadySecrets.com Affiliate Program. We may revoke your license anytime by giving you written notice.

TERMINATION

The terms of this Agreement will begin upon the moment you join as a free member. This Affiliate Agreement shall commence on the date of create your free member account on the Bird Lady Secrets web site and shall continue thereafter in full force and effect until terminated at any time by either party by giving the other party written notice of termination. Upon termination of this Affiliate Agreement for any reason, you will immediately cease use of, and remove from your site, all Links to our site, and all BirdLadySecrets.com trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the Program.

MODIFICATIONS

We may modify any of the terms and conditions of this Agreement at any time. You will be notified by email, and a change notice will be posted on our site. If the modifications are unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in this Affiliate Program after a change notice has been posted will constitute binding acceptance of the change.

ANTI-SPAM

Affiliates will be removed from the BirdLadySecrets.com Affiliate Program and forfeit any pending commissions if they are caught spamming. Spamming is not allowed in anyway, shape, or form and will not be tolerated. There are no exceptions. If you spam you can expect to be terminated.

INDEPENDENT CONTRACTORS

You and Bird Lady Secrets are independent contractors and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf.

CUSTOMERS

Those who purchase products through the Affiliate Program will be deemed to be customers of Bird Lady Secrets. All products, services, and offers not defined by the Affiliate Program, but offered to such customers by Bird Lady Secrets are non-commissionable.

REPRESENTATIONS

You hereby represent and warrant to us as follows:

- This Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms.
- The development, operation, and contents of your site do not infringe upon the copyright, trademark, or any other right of any person or entity.

INDEPENDENT INVESTIGATION

You acknowledge that you have read this Agreement and agree to all its terms and conditions. You understand that we may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement or operate Web sites that are similar to or compete with your Web site. You have independently evaluated the desirability of participating in the BirdLadySecrets.com Affiliate Program and are not relying on any representation, guarantee, or statement other than as set forth in this Agreement.

FRAUD

If you commit fraud or falsify information in connection with the order placement for our product through the Links on your site, this Agreement will be terminated immediately. In addition, you will be liable to Bird Lady Secrets for any and all damages that Bird Lady Secrets suffers as a result of such actions. You will also be responsible for returning to Bird Lady Secrets all commissions received for fraudulent/falsified sales, and we will not hesitate to pursue all legal causes of action against you to the fullest extent possible under the law.

ASSIGNMENT

This Agreement and the rights and obligations hereunder may not be assigned by you without prior written consent of Bird Lady Secrets.

RESERVATION OF RIGHTS

Bird Lady Secrets may terminate this Agreement at any time if your site or email content is determined (at our sole discretion) to be unsuitable for the Program, even if your site has not changed since the time that you have joined our affiliate program. Bird Lady Secrets also reserves the right to monitor Affiliate sites at any time to determine whether they are in compliance with this Agreement.

REMOVAL OF MATERIAL FOR WHICH COPYRIGHT INFRINGEMENT IS CLAIMED

Bird Lady Secrets respects the intellectual property rights of others. Pursuant to Title 17 U.S.C.512, as amended by Title II of the Digital Millennium Copyright Act ("the Act"), the Bird Lady Secrets has implemented procedures for receiving written notification of claimed copyright infringements and for processing such claims in accordance with the Act. If you believe your copyrights are being infringed by a Member, please contact us.

The information requested by the Notice of Infringement Form substantively complies with 17 U.S.C. 512(c)(3)(A), which provides:

To be effective under this subsection, a notification of claimed infringement must be a written communication provided to the designated agent of a service provider that includes substantially the following: A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.

Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material.

Information reasonably sufficient to permit the service provider to contact the complaining party such as an address, telephone number, and if available, electronic e-mail address at which the complaining party may be contacted.

A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Notification from a copyright owner or from a person authorized to act on behalf of the copyright owner that fails to comply substantially with the provisions above shall not be considered as providing actual knowledge or an awareness of facts or circumstances from which infringing activity is apparent.

Please provide a Notice of Infringement Form information each time you wish to report alleged acts of infringement.

Please note that Bird Lady Secrets will terminate in appropriate circumstances the account of any Member who repeatedly posts infringing material on the Site.

INDEMNIFICATION

You agree to hold harmless Bird Lady Secrets and its Information Providers and any other person or entity involved in creating or distributing the Site, as well as each of their respective affiliates and their respective directors, officers, employees and agents, from and against any and all claims, liabilities, damages, losses, costs, fees (including reasonable attorneys' fees) and expenses that such parties may incur as a result of or arising out of your (or, in the case of Members, anyone using your account's) use of, or conduct with respect to, the Site.

MODIFICATION OF AGREEMENT

You agree that Bird Lady Secrets may change the terms and conditions of this Agreement, unilaterally, and at any time, by conspicuously posting notice of such change on the Site for a period of five (5) consecutive days. Continued use of the Site after such notice will constitute your acknowledgment and acceptance of the revised terms and condition.

OUR REFUND POLICIES

a. The Bird Lady Secrets warrants your memberhsip satisfaction for a period of 30 days following your NEW 'Elite Membership' subscription, with the following conditions:

(1) The refund applies to situations where the free trial period, or $1 trial period is over and billing has actually began;

(2) In the case of an instant payment sales, where billing happens only once, then the refund period begins immediately;.

(3) The refund for 30 days is regardless of the billing cycle period chosen by customer: which can be: 15 days trial, 30 days trial, or ANY other cycle payment period available in the Bird Lady Secrets on day of purchase;

(4) Our refund policies applies only to FIRST TIME membership subscriptions!

You may notify the Bird Lady Secrets of any breach of the foregoing warranty during the 30 days after the billing cycle has begun.

As your sole remedy the Bird Lady Secrets' sole liability for breach of the foregoing warranty, the Bird Lady Secrets will terminate this agreement and refund you the fee you have paid to join the Bird Lady Secrets for the first time.

All refund requests need to be made through postal mail or by using our support online ticket system with a contact form here. You can also send email to the Bird Lady Secrets customer service.

If you have signed up for a 15 day $1 trial of the Bird Lady Secrets "ELITE Membership", and if you now want to cancel your free trial BEFORE you are charged anything by PayPal.com, this cancellation request also needs to be made using this contact form here.

Any refund or cancellation requests made to any other location than this contact form here., or through phone or fax will not be accepted, honored or replied to, under any circumstances.

GOVERNING LAW AND JURISDICTION

If any provision of this Agreement is rendered by a court or governmental agency of competent jurisdiction to be invalid, illegal, or unenforceable, such invalidity, illegality or unenforceability shall not affect the remainder of this Agreement, which shall remain in full force and effect and be enforced in accordance with its remaining terms.

The waiver by Bird Lady Secrets of a breach or default of any of the provisions of this Agreement by you shall not be construed as a waiver of any succeeding breach of the same or other provisions; nor shall any delay or omission on the part of Bird Lady Secrets to exercise or avail itself of any right, power or privilege that it has or may have hereunder operate as a waiver of any breach or default by you.

You agree that, regardless of any statute or law to the contrary, any claim or cause of action that you may have arising out of or related to use of the Site or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in this Agreement are solely used for convenience and have no legal or contractual significance.

All provisions of this Agreement that, by their nature, survive termination of this Agreement will survive termination including without limitation, the Site Rules, Public Areas, Links, Disclaimer of Warranties, Limitations on Liability, Allocation of Risk, Ownership of Materials, Indemnification, Choice of Law/Jurisdiction and Venue and General sections of this Agreement.
